These Terms and Conditions explain the rules that keep the CV Abroad Website running. These Terms and Conditions apply to https://cv-abroad.eu (the “Website” or “CV Abroad Website” ) and the services available through the Website (the “CV Abroad Services”).

These Terms and Conditions explain how we expect you to behave when you're using CV Abroad Website – whether you are a registered user or an unregistered visitor on the Website.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE WEBSITE.

In order to use the Website, you will be requested to review and agree to the following Terms and Conditions. If you do not want to be bound by our Terms and Conditions, please do not use the Website or any of its parts.

About CV Abroad

CV Abroad is a digital freelance marketplace and communication platform for clients and freelancers from all over the world. With the help of CV Abroad, clients and freelancers can find each other, communicate, collaborate, run projects, make payments and get paid. CV Abroad is designed to be used by clients and freelancers from any field of business activity with a focus on consulting services like career consulting, coaching, human resourcing (HR), recruiting consulting services, marketing, communications, and education.

Your use of the information we posted on the website

Information provided by us on the Website, as well as the manner in which we have compiled, arranged and assembled our content is protected by copyright and other applicable laws. You may use the content we posted on the Website only for your information purposes. Copying, publishing, broadcasting, modification, distribution, or transmission of any portion of information or materials of the Website in any way without our prior written consent is strictly prohibited. We or our licensors reserve title and full intellectual property rights for all the information, materials, and content we post on the Website. By means of these Terms and Conditions, we grant you a non-exclusive, royalty fee, worldwide license to use the content we post on the Website in accordance with these Terms and Conditions. In no case, you may delete, change or pass over any copyright or trademark notices if such were posted by us or any of our third parties on the Website. We don't make any guarantees about information posted on the Website, so please never use it as tax or legal advice.

What you are allowed to do on the website

The Website and CV Abroad Services were made to be used for business, not for personal or consumer use. CV Abroad platform is intended to help Users (i.e Freelancers and Clients) find each other, build working relationships, and make and receive payments for that work. So our approach here is simple: You can only use the Website and CV Abroad Services for work and to learn from the information we post on the Website.

What you are not allowed to do on the website

You are not allowed to use the Website and CV Abroad Services to do anything that is or can be considered (or likely to be considered) illegal, fraudulent or harmful. For example, you can't post any unaccepted content on the Website. By unaccepted content we generally mean any content that is illegal; defamatory; violent; discriminatory; harassing; sexually explicit or related to sex work or escort services; in any way related to child exploitation; would infringe on any intellectual property rights ( including copyrights or trademarks); would violate these Terms and Conditions or another website's terms of service, or any similar contract; would go against professional or academic standards or industry practices or any sort of misleading content (including purchasing or requesting fake reviews, deep fakes or fake news).

When using the Website and CV Abroad Services, you are not allowed to misrepresent yourself, your experience, skills or professional qualifications, or that of others. For example, we strictly prohibit you from lying about your identity, your name, your experience, skills or professional qualifications; using a profile picture that isn't you or misrepresents your identity in any other way; allowing someone else to use your User account which may mislead other users.

If you are a Freelancer, you are not allowed to fraudulently charge a Client in any way (e.g by falsifying the hours or reporting or billing time you haven't actually worked). If you are a Client, you are not allowed to engage in fraud related to payments (e.g. by means of posting jobs with objectively unreasonable or disproportionate payment terms or demanding free work, or requesting services without the intention of providing payment in exchange for the services).

You are also not allowed to:

Eligibility

The Website is not intended for use by persons who are younger than age 18. By registering a User account on the Website, you represent that you: (i) are doing business under your own name as a self-employed individual/sole proprietor; (ii) will use CV Abroad Services for business purposes only; (iii) will comply with any licensing, registration, or other law requirements with respect to your business; and (iv) are either a legal entity or an individual who is at least 18 years old and that you can form legally binding contracts.

Your user account registration

To be able to use CV Abroad Services, you must register your User account with CV Abroad Website. Please note that your registration is subject to our approval. We reserve the right to decline your User account registration for any lawful reason, at our sole discretion. You have a right to register a User account with us if you are an adult and you are over the age of 18. CV Abroad reserves the right to make your use of the CV Abroad Website and/or Services contingent on proper proof of your identity and your legal age.

The registration of a User account with CV Abroad is free of charge. The registration of a User account will require you to use your e-mail address, create a password of your choice, fill out the application form and complete your User profile.

The password for your User account must be kept confidential. It is your sole responsibility to keep a password confidential and not provide it to any third parties. The CV Abroad User account may only be used by you. Any unauthorized use of your User account should be communicated to CV Abroad immediately.

Any information required for registration must be complete and correct and always up-to-date. CV Abroad has the right to save and process the data you provided during registration, in accordance with CV Abroad Privacy Policy and applicable data protection law.

To register for a User account to use our Services, you must complete a User profile, which you consent to be shown to other Users and visitors of the Website. You agree to provide accurate and complete information on your User profile. You agree not to provide any false or misleading information about your identity or location, your business, the beneficial owner(s) of your business, your skills, or the services your business provides, and you agree to correct any information that is or becomes false or misleading. We reserve the right to suspend or terminate your User account, or access to our Services if we have grounds to believe that your User account includes false, inaccurate, or incomplete information.

User account types and user account verifications

At CV Abroad we offer two types of User accounts: Client and Freelancer. If you create a Client User account on behalf of a company, you represent and warrant that you are authorized to enter into binding contracts, including these Terms and Conditions, on behalf of yourself and the company. When you register for a User account, your User account will be subject to verification, including but not limited to validation against third-party databases or the verification of one or more official government or legal documents that confirm your identity, your location, and your ability to act on behalf of your business on the Website. You agree to authorize CV Abroad to make any inquiries necessary to validate your identity, your location, and confirm your ownership of your business, email address, financial account. When reasonably requested by CV Abroad, you must timely provide us with complete information about yourself and your business, which includes providing official government or legal documents, and cooperating with other reasonable requests we make to verify your identity. During verification some User account features may be temporarily limited but will be restored if verification is successfully completed.

Contracts between freelancers and clients and relationship with cv abroad

CV Abroad is a digital freelance marketplace and communication platform that enables registered users (i.e Freelancers and Clients) to find and connect with each other. CV Abroad is not involved directly in any negotiations between its Freelancers and Clients or the delivery of Freelancer services and is not a party to any agreements the Freelancers and Clients may make using the Website. Freelancers and Clients are solely responsible for any agreements they make. CV Abroad offers a platform that enables Freelancers and Clients to find one another, enter into service relationships and agreements, receive and provide Freelancer services, and make and receive payments through escrow. CV Abroad does not supervise, direct, control, or monitor Freelancers and Clients in the performance of any contractual obligations they may have under any Service Contract they may conclude using the Website. In no way CV Abroad should be responsible for the performance of Service Agreements or other contracts that may be concluded by Freelancers and Clients using the Website. All Service Agreements or other contracts between Freelancers and Clients are directly between that Freelancers and Clients and CV Abroad is not a party to those contracts. Clients and Freelancers may enter into any agreements that they deem appropriate, provided that those agreements do not conflict with these Terms and Conditions. If Client and Freelancer decide to enter into a Service Contract, such contract should be considered as a contractual relationship directly between the Client and the Freelancer and in no way CV Abroad is responsible for the performance of such contract. Under no circumstances will any such contract create an employment or any service relationship between CV Abroad and any User (whether Freelancer or Client).

Payments and escrow services

To help both Clients and Freelancers feel safe and protected, — CV Abroad platform is designed to work within an escrow system. When Client enters into a contract with a Freelancer, Client is required to fund at least the first milestone of the Project. Escrow is a neutral holding place where CV Abroad puts the Client's funds until the Project or a Project milestone is completed. The funds stay in escrow until Freelancer fulfills his/her obligations to Client. When Client is satisfied with the work, Client release the funds from the escrow.

As it was mentioned above, the initial escrow deposit can be for the full contract amount or for the first milestone of the Project. Client can add and fund additional milestones, as agreed with the Freelancer throughout the contract Freelancer and Client have in place. The funds stay in escrow until the agreed-upon work is completed. When a Freelancer submits work, Client has 14 days to approve it or request changes. Failure to respond within 14 days is considered approval and will result in the escrowed funds being automatically released to Freelancer.

CV Abroad service fee

CV Abroad service fees approach is straightforward - a 20% service fee applies to Freelancer's earnings. Example: On a $1000 Project with a Client, the CV Abroad service fee will be $200 (20%) and Freelancer's earnings after fees would be $800 ($1000 - $200 = $800).

Taxes

CV Abroad service fee is exclusive of taxes. We do not collect taxes we are not required to collect, but we may be required to collect certain taxes, such as VAT, by applicable law. These collection requirements and rates may change based on changes to the law in your area. Any amounts CV Abroad is required to collect or withhold for the payment of any such taxes shall be collected in addition to the fees owed to CV Abroad under these Terms and Conditions.

Making payments through CV Abroad

Please note that Freelancers and Clients should make and receive payments only through the Website. Violations of this Section will constitute a serious breach of these Terms and Conditions and may result in permanent suspension of your User account.

You acknowledge and agree that the compensation CV Abroad receives for making the Website and CV Abroad Services available to you is collected through the CV Abroad service fee as described in the previous section of these Terms and Conditions above. You agree to use the Website as your exclusive method to request, make, and receive all payments for work/services and not to circumvent the payment methods offered on the Website during the entire period of your use of the Website or CV Abroad Services.

Communication through the website

Users undertake to use the communication services available on the Website to communicate with other Users at least prior to entering into a contract (e.g the Service Contract). Thus, prior to entering into the contract Freelancer and Client undertake to use the Website as the sole method of communication with each other. It is desirable to keep the Website as the main method of communication even after entering into the contract and within the entire period of the Project. For example, one of the advantages of keeping all the communication with the Website is CV Abroad dispute resolution tools that may help Users to gain understanding when a dispute arises.

Please note that other communication methods (in addition to or instead of communication services offered by the Website) or exchange of direct contact details by Users before the conclusion of a contract (e.g the Service Contract) will constitute a material breach of these Terms and Conditions and may result in the suspension of User Account.

Dispute resolution between users

In certain cases CV Abroad may offer Users its dispute resolution assistance services. If requested by the Users, CV Abroad may act as a mediator to facilitate the negotiation process in order to gain mutual understanding by the Users that are the parties of the dispute. Please note that CV Abroad dispute resolution assistance services shall be available to Users that keep the Website the main and sole method of communication within the entire term of Project implementation. Records of compliance

You are solely responsible for creation, storage, and backup of your business records. You agree that CV Abroad has no obligation to store, maintain or provide you a copy of any content or information that you provide, except to the extent required by applicable law.

Consumer protection and cancellation policy

This section may apply when you purchase any additional services from CV Abroad.

At CV Abroad we value our customers and always undertake our best efforts to make our customers happy when they use our services. At the same time, as a business, we keep an eye on the best industry standards and aim to comply with applicable consumer protection legislation. Thus, our customers who are considered consumers under the terms of applicable law shall have the right to withdraw from this contract (i.e to cancel the contract) within 14 days without giving reasons. Certain exceptions shall apply. The withdrawal period is 14 days from the day on which the customer has acquired physical possession of the goods. To exercise the right of withdrawal, the customer must inform CV Abroad of his/her decision to withdraw from this contract by sending a written notification via email to: support@cv-abroad.eu

Please note that customers will have the right to withdraw from purchases of digital content only until the moment the actual downloading process or broadcasting begins. The cost of services already provided to customers shall not be subject to reimbursement or refund.

Changes to these terms and conditions

From time to time, we may change these Terms and Conditions. We will make our best efforts to inform you about any changes made to these Terms and Conditions by posting a relevant notification on the Website. Please note that it is your sole responsibility to review these Terms and Conditions regularly. Your continued use of the Website and CV Abroad Services following the posting of changes to the Terms and Conditions will be deemed your acceptance of those changes.

Third-party websites and services

The Website may contain links to other websites or services available on the Internet which is neither owned nor controlled by CV Abroad. Links to such websites or services are provided only for your convenience and you access or use them solely at your own risk.

Liability disclaimer

Information provided by us on the CV Abroad Application is general in nature. All information is provided on an "as is" basis without warranty of any kind, whether express, implied, or statutory unless explicitly stated otherwise. This disclaimer includes, but is not limited to, any and all warranties of merchantability, fitness for a particular purpose, and non-infringement. We try to provide you with the most accurate information possible, however, we make no claims, promises, or guarantees about the accuracy or completeness of the information provided by us on the Website. We reserve the right to alter, revise or modify the Website or any information available on them at any time without notice. You as a visitor and user of the Website and CV Abroad Services use the content of the Website and CV Abroad Services solely at your own risk. We shall not be responsible or liable for the accuracy, usefulness, or availability of any information transmitted or made available on the Website or CV Abroad Services.

Privacy

The privacy of visitors and users of the Website and CV Abroad Services is of extreme importance to us. Our Privacy Policy describes our information handling practices when you access the Website or use CV Abroad Services. Please review our Privacy Policy carefully before using the Website or CV Abroad Services.

User communications

Any comment, material, information, or other communication that you post, upload or submit to the Website or that is publicly displayed on the Website at your direction will be considered non-confidential and non-proprietary, and we will be under no obligation to maintain the confidentiality of any communication. You are responsible for your communications. You shall ensure that your communications do not infringe any copyright or trademark with respect to any person, entity, product, or service, or violate any other rights of any other person or entity. You shall be solely liable for any claims, damages, or other liabilities resulting from your use of the Website or your uploading, posting, or submission of any communication or the content of any of your communications. Any opinions, advice, statements, or other information contained in communications are those of the author and not of us. We do not endorse or guarantee any communication's accuracy, completeness, or usefulness. Please do your best to ensure that the communications you post, upload, or submit to the Website are accurate.

Indemnification

You agree to indemnify, defend, and hold us harmless from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation by you of these Terms and Conditions and/or your use of the Website or CV Abroad Services.

Applicable law and out-of-court dispute resolution

These Terms and Conditions will be governed by and interpreted in all respects in accordance with the substantive laws of the Kingdom of Spain. If any provision of these Terms and Conditions is invalid, the remainder of the agreement remains valid. The statutory provisions shall take effect over the invalid regulations. The parties (i.e You and CV Abroad) agree to use reasonable efforts to resolve any disputes that may arise regarding these Terms and Conditions, the Website or CV Abroad Services. Any dispute that arises under or with respect to the Terms and Conditions, the Website or the CV Abroad Services shall in the first instance be the subject of informal friendly negotiations. The dispute shall be considered to have arisen when one party sends the other party written notice of the dispute. The period for informal negotiations shall be fourteen (14) business days from receipt of the written notice of dispute unless the written agreement of the parties modifies such time period.
